These terms and conditions (hereinafter, the “T&Cs”) set forth the main rules regarding the “Golden Sats Challenge: Powered by the Rootstock Community” (the “Campaign”) sponsored by RootstockCollective Foundation, located at c/o International Corporation Services Ltd., Harbour Place, 2nd Floor, 103 South Church Street, P.O. Box 472, George Town, Grand Cayman KY1-1106, the Cayman Islands (“Foundation”, “Us” or the “Company”).

Please read carefully the T&Cs. Each Participant (as defined below) will agree and be bound by these T&Cs. If you do not agree with these T&Cs, you must not participate in the Campaign. 

1. Campaign. 

1.1. The Campaign is open to those individuals (hereinafter, the “Participants”) who, during the Term: 

A. Earned at least one (1) ticket in Phase 1 (as defined below) of the Campaign using their wallet. For the avoidance of doubt, to earn a ticket, at least one (1) Campaign’s quest shall be fully completed; 

B. Be a verified participant in at least one Galxe Quest in Phase 1 of the Campaign. For the avoidance of doubt, to become a verified participant, at least one (1) Campaign’s quest shall be fully completed.

1.2. Phase 1 shall mean the period of the Campaign running from July 17, 2025 to August 04, 2025.

1.3. Participation in the Campaign is open to Participants aged 18 or older.

1.4. No employees or other collaborators of companies belonging to the Foundation group may participate in the Campaign.

1.5. This Campaign is not open to individuals who are residents of the United States or who are U.S. citizens (collectively referred to as “U.S. persons”). Participation in this Campaign is void where prohibited or restricted by law. If you are a U.S. person, you are not permitted to participate in this Campaign. By participating in this Campaign, you affirm that you are not a U.S. person and that you are in compliance with all applicable laws and regulations of your jurisdiction.

1.6. Participants shall complete and maintain the completion of tasks throughout the Campaign Term to be eligible for the reward mentioned in Section 3.1 below. 

1.7. Participants who are not verified in at least one (1) Galxe Quest may still claim the RIF token distributed by RootstockCollective at the end of each phase, but will not be eligible for the LilPudgy NFT raffle. In other words, once a Participant has redeemed a ticket for the RIF token at the end of a phase, that ticket can no longer be used to participate in the Lil Pudgy NFT raffle at the end of the Campaign.

2.0. Term.

The Campaign will commence on July 17, 2025 at 12:00 UTC hours and will run until August 04, 2025 at 23:59:59 UTC hours. (the “Term”).

3.0. Rewards.

3.1. All Participants who have completed all the tasks outlined in Section 1.1 above and maintain the fulfillment of the tasks as stated in Section 1.6. shall be entitled to participate in the raffle for one (1) LilPudgy NFT (the “Reward”). 

3.2. On August 07, 2025 the raffle will be conducted. The more tickets a Participant accumulates, the higher their chance of winning the Reward. The raffle will take place on the official X account (https://x.com/RootstockColl) during the X Spaces, which will be announced in advance.

4.0. Liability

The Participants unconditionally accept that the Foundation and any third party collaborating with the Foundation and the Campaign shall not be liable for any direct or indirect damage that the Participants or any third party may suffer as a result of and/or on the occasion of participation in the Campaign, and/or the use, destination or purpose of the rewards, and the Foundation shall not be liable for any contractual and/or extra-contractual liability to the Participants and any third party.

5.0. Fraud

Any Participant who attempts, by any means, to defraud or tamper with the T&Cs of the Campaign will be immediately disqualified from the Campaign and will not be eligible to participate in any future promotion conducted by the Company. The Company reserves the right to disqualify participants who do not comply with the requirements set forth in these T&Cs, at its sole discretion.

6.0. Changes to the Campaign.

The Foundation can change the terms and conditions of the Campaign without prior notice to the Participants, if such changes do not affect the essence of the Campaign. The most recent version of the T&Cs will be available at https://rootstockcollective.xyz/rootstockcollective-golden-sats-challenge-tcs/. Where the Campaign or an award is limited to a specific period of time, or a specific number of awards, any extension to those limits shall be at the sole discretion of the Foundation.

7.0. Miscellaneous.

7.1. Participation in this Campaign does not include any other benefit or service not listed in the T&Cs. The mere participation implies for the Participants the knowledge and acceptance of the provisions set forth in these T&Cs, in accordance with the applicable legal provisions, as well as the Terms of Use of the Foundation, available at www.rootstockcollective.xyz as applicable. 

7.2. The Campaign shall be subject to the laws of the Cayman Islands. Any disputes shall be finally ruled by the competent courts of Grand Cayman, the Cayman Islands, and the Participants hereby waive any other jurisdiction that they may have the right to apply for.
